Netum - When change is an opportunity

Here are Joni’s comments on this morning’s results.

Netum released its Q2 business review this morning. The profit warning in June confirmed the assessment of a weak Q2, but the reported figures were even gloomier than expected. Revenue continued its steep decline and fell short of expectations. The contract wins from earlier in the year do not seem to have eased the downward pressure on revenue, as project starts have been delayed. Profitability was clearly below expectations, and the cost structure is significantly too heavy for the current revenue level. While the company is responding with small efficiency measures, these initially appear too minor to drive the necessary turnaround in profitability. Given the weak earnings level, the balance sheet situation is once again very tight.

And here is the company report on Netum from Joni :)\n\n> We are lowering the target price of the share to EUR 0.85 (previously EUR 1.00), reflecting forecast changes, and lowering our recommendation to ‘sell’ (previously ‘reduce’). The Q2 report was a disappointment. Revenue is weighed down by large completed projects that have not been replaced, despite successful sales efforts. Uncertainty remains regarding the timing and slope of the earnings turnaround. Furthermore, there is a risk that paying down the high debt load will take several years. As such, there is no rush to get on board with the stock (2027e EV/EBITA and P/E are 22-30x).\n\nNetum Q2'26: Haastavalta näyttää yhtiön ja sijoittajan kannalta - Inderes

What do people think about Netum’s chances of making a profit in the future? Is there light at the end of the tunnel? At least some people seem to have faith, as board member Köngäs has been steadily buying shares multiple times during August and September, but does anyone else share this view?

If the debt burden can somehow be melted away (a directed share issue?), then perhaps… It will also require a change in management, because as I understand it, the employees’ trust in the current management is extremely weak, which in turn drives the most talented people away from the company. Acquisitions combined with dividend distribution decisions and share buybacks in a situation where the balance sheet is already completely in shambles do not convince me, at least. Quite a few poor capital allocation decisions have been made overall.

However, Netum has long and deep customer relationships and pretty good competence. Because of those things, under the right management, operations could still be very healthy someday. Assuming, of course, that AI doesn’t disrupt most of the business.

Köngäs seems to have been buying fairly steadily throughout the company’s stock market history, so I wouldn’t draw any major conclusions from that.

In my opinion, the company is about as adrift as it gets, based on what I’ve heard.

I work in the same industry myself, and a few acquaintances work at Netum—a couple of them have already changed jobs.

From what I’ve discussed with them, things seem to be in complete disarray as large, long-term clients have started cutting their budgets and no new projects are coming in to replace them.

This is reportedly partly due to the fact that the released experts have been working with the same clients for years, using technologies and tools that are now so outdated that their skills have become “obsolete,” making it difficult to sell them to other accounts or projects.

Additionally, I heard that the constant co-determination negotiations (YT-neuvottelut) have indeed resulted in a total lack of trust in current management, and there are currently serious challenges regarding employee satisfaction, engagement, and leadership. The most recent eNPS result was supposedly well in the negative, too. The company has also struggled to recruit new experienced experts, because top talent simply won’t switch to that kind of work environment.

Now they are also furloughing sales staff, including those from the more experienced end, even though the company desperately needs more revenue and new clients. My acquaintance guessed this is so the company won’t have to pay salespeople commissions or bonuses for deals already closed this year, keeping every euro for itself instead. Furloughs are also “cheap” for Netum since no one is being laid off, meaning they don’t have to pay long notice-period salaries, holiday compensations, offer outplacement training (muutosturvakoulutus), etc. With a furlough, the payroll stops dead and no other costs are incurred.

In my view, this shows that the situation is already pretty weak, and I personally don’t believe things will improve unless management starts getting replaced.

I don’t think this is true. If the employment contract states how commissions and bonuses work, they must be paid for deals already made, even if the employees have been laid off (lomauttaa).

As I understand it, commissions are paid monthly based on billings, and a certain portion of that always goes to the salesperson.

Now, when salespeople are laid off (lomauttaa), the projects they sold still continue, but the company gets to keep all the euros for itself. Consequently, the company doesn’t have to pay the commission that rightfully belongs to the salesperson.

I might be wrong, but at least in our company, salespeople’s pay is structured that way.

However, it is true that by laying off a salesperson versus terminating their employment, the company saves a lot of money. Nor does it eliminate the dilemma that the company desperately needs more revenue, yet it lays off a large portion of the salespeople who bring in that business. You don’t have to be very smart to realize that Netum’s situation is already quite weak when revenue-generating salespeople are laid off so the company can pocket every single euro.

Now that Netum can no longer attract top industry experts to work there, they won’t be recruiting experienced salespeople anytime soon either. Just try setting out to grow your revenue in the future under those conditions.

I don’t know what collective agreement (TES) applies at your workplace or what company-specific contracts you have, but at least based on my own IT industry experience, if a salesperson has sold a project and it reaches the invoicing stage, the salesperson gets their commission even if they are laid off after the said sale. And as-called common sense dictates that a company cannot escape its obligations that arose before a layoff simply by putting employees on a forced leave.

Well, of course I don’t know how we would handle the same situation, I just said that at our company, salespeople are paid a monthly commission based on the previous month’s billings. Do you think that even in that case, if a person is laid off (lomauttaa), commission payments would still continue every month? I don’t think so.

And anyway, I don’t even know what kind of compensation model Netum has. I just found it strange why salespeople and people working in sales are being laid off (lomauttaa) in this situation, when experts are lacking projects, additional sales and revenue are desperately needed, and sales should be the very thing being invested in. There can hardly be any other reason for this than the fact that the company gets to keep every euro from ongoing projects and ventures for itself, and laying off (lomauttaa) employees whose pay mostly consists of commissions brings the biggest savings at this stage.

It will certainly help in the short run and slightly improve the year-end figures, but what about the future? Good salespeople with broad, ready-made networks and contacts will easily find new jobs. I doubt they are interested in waiting around for when the call to come back to work arrives. And would they even want to return if the call did come?

How do they plan to generate the desperately needed additional sales with an even smaller sales organization when it was already difficult before? I suppose management and the board have a plan in place.

Sounds very familiar, those comments regarding management and the handling of customer relationships and employees in general. I raised my hand as a volunteer in the co-op negotiations (yyterit) a year ago, so thanks again Netum for the free 400-day vacation that’s still ongoing :smiling_face_with_sunglasses:

It’s a shame for the good employees how Netum operates; of course, the best ones left a long time ago, but there are still good folks left there. I can’t say what the scenario would be for Netum to rise; it feels like it’s too small to compete with larger players in the current tight economic situation, and since there is hardly any proprietary product development, the joint is pretty much a glorified body-shop with far too heavy a cost structure.

It could well be that they hope the laid-off employees will leave on their own, so that no re-hiring obligation arises.

Board Chairman Köngäs has been making some small-scale purchases

Volume: 3,015 Average price: 0.87177 EUR

This is the essential observation. The vibe in the market right now is that even larger houses have drifted into a bloody price war. And since the business is partly also CV-selling, it’s hard to make profits when experts have realized the situation and changed jobs. The employees who remain are certainly skilled and hardworking, but usually those “smooth talkers” who are important in the consulting business are quicker to change jobs.

The stock looks cheap, but no sign promises a turnaround. Winning clients is certainly possible, but there is a big risk that their price level will remain low. Buyers smell blood and have put many of their preferred suppliers up for competitive bidding now that it’s a buyer’s market.

I predict that the situation will weaken further, unfortunately. Making a turnaround during the autumn will be difficult. Further cost savings will likely be needed, but it would be a major mistake if they are targeted at consultants or sales, because that’s where the revenue comes from.

Here are Joni’s comments on Netum’s profit warning.

Yesterday evening, Netum issued a profit warning, in which the company lowered its profitability guidance for the current year regarding comparable EBITA to a loss-making level. We consider the warning a clear disappointment, although it is not entirely surprising given the very weak Q2 report and the relatively small scale of the cost-saving measures announced in August. The news reinforces our view that the company’s earnings turnaround is more difficult and slower than expected. The release naturally creates downward pressure on our earnings forecasts.

Lisäksi korkean velkamassan sulatteluun uhkaa kulua useita vuosia.

Such a PRESS release has been published to cheer up investors.

Netum to test the information security of Statistics Finland’s IT systems

Netum has won a contract to test the information security of Statistics Finland’s IT systems. The two-year contract covers technical information security testing of the IT systems and includes an option for a further two-year period.**

Statistics Finland carries out a significant amount of application development. The number of security-related considerations has grown strongly, placing increasingly high demands on the systems and the expertise related to their development.

Information security testing of IT systems is an objective assessment aimed at determining whether the target meets the information security requirements set for it. In the planning and implementation of testing, it is important to comprehensively consider various aspects of information security. These include, for example, penetration testing, code review, assessment of application development processes, and architectural review.

“Digital security is the foundation of everything we do at Netum, and we have strong expertise in both technical and administrative cybersecurity. Security is not a single measure or project, but an ongoing part of responsible digital operations. We are extremely pleased with this opportunity to help Statistics Finland build sustainable security capabilities as part of Finnish society,” says Repe Harmanen, CEO of Netum Group Oyj.

Statistics Finland produces reliable and impartial statistics on Finnish society. Its mission is to process data from various sources into statistics and make them available to all Finns: citizens, decision-makers, researchers, and others in need of information. Administratively, Statistics Finland is a performance-managed agency operating under the Ministry of Finance, employing approximately 650 experts in various fields.

The procurement is carried out as an internal tender within the dynamic purchasing system “Expert services for cybersecurity and data protection 2025 (00751)”. The contract duration is two years, with an option for one additional period of up to two (2) years.

Muu liiketoiminta on samaan aikaan kasvanut.

Yhtiön tukitoiminnot, johtamisrakenne ja organisoituminen on mitoitettu selvästi nykyistä suuremmalle liiketoiminnalle. Rakenne uudistetaan vastaamaan yhtiön nykyistä kokoa ja tarkennetun strategian painopisteitä.

Organisaatio rakennetaan strategisten vahvuuksien ympärille

Netumin uusi toimintamalli muodostuu neljästä liiketoiminta-alueesta:

  • Data, Digital & AI
  • Ydinjärjestelmät, Integraatiot & Operointi
  • Kyberturvallisuus, Regulaatio & Tietosuoja
  • Oppilaitosratkaisut & Tuotteet

Liiketoiminta-alueiden rinnalla toimivat yksi yhteinen myyntiorganisaatio sekä yhteiset konsernipalvelut. Uusi malli korvaa nykyisen rakenteen, jossa liiketoiminta on jakautunut Ratkaisut-, Asiantuntijapalvelut- ja Tuotteet-kokonaisuuksiin.

Liiketoiminta-alueet vastaavat omasta tuloksestaan, henkilöstöstään, kapasiteetistaan, käyttöasteestaan ja osaamisensa kilpailukyvystä. Myynti palvelee koko Netumin tarjoomaa.

Taloudelliset vaikutukset

Suunnitelman mukainen täysi vuotuinen kustannusvaikutus on 1,4–1,8 miljoonaa euroa riippuen lopullisesta henkilöstövaikutuksesta.

Talousvaikutus toteutuu pääosin jo vuonna 2027. Lomautukset suunnitellaan alkavaksi vuoden 2026 viimeisellä neljänneksellä ja irtisanomisajat päättyisivät pääosin vuoden 2027 ensimmäisen neljänneksen aikana. Täysimääräisenä vaikutus näkyisi vuodesta 2028 alkaen.

Muutokseen liittyvien kertaluonteisten kustannusten arvioidaan olevan noin 0,3 miljoonaa euroa.

Studyo Oy jatkaa konsernin osana omana juridisena yhtiönään. Mahdolliset juridiseen yhtiörakenteeseen liittyvät muutokset arvioidaan myöhemmin erikseen.

Näkymät vuodelle 2026 ennallaan

Yhtiön 24.9.2026 julkistama ohjeistus vuodelle 2026 pysyy ennallaan. Netum arvioi liikevaihdon laskevan selvästi vuoden 2025 tasosta (37,8 miljoonaa euroa) ja vertailukelpoisen EBITAn olevan tappiollinen.

Toimitusjohtaja Repe Harmanen

Netum Group Oyj

Hallitus

Here are comments from Joni regarding Netum’s latest news.

This morning, Netum published its refined strategy and new financial targets for 2027–2029. There were no major changes to the strategic focus areas; instead, the company continues to build on its familiar areas of strength. Regarding the financial targets, the profitability target was lowered only slightly, and in our view, the growth target remained surprisingly high. Given the company’s current extremely difficult situation and the loss-making result for the current year, the new targets appear quite distant at this moment. The release does not warrant any changes to our estimates, as our focus remains firmly on the company’s very important short-term turnaround. As expected, the company also announced new cost-saving measures this morning, and our commentary on that can be read here.

In a press release published on Monday morning, Netum announced that it is restructuring its organization and targeting annual cost savings of EUR 1.4–1.8 million. We consider the announced measures to be entirely necessary and expected in light of the company’s profit warning in September and the sharply declined revenue. In our view, the company’s cost structure has been far too heavy relative to its current volume, making the streamlining of administration and management the right remedy for the situation. The news does not cause changes to our forecasts, as we had already anticipated substantial cost savings. In our view, the primary priority now is to curb the decline in revenue to break out of the continuous efficiency-seeking cycle. This morning, Netum also released its refined strategy and new financial targets for 2027–2029, and our comment on that can be read here.
