So if a company has, for example, incentive liabilities for 50 shares and an acquisition is also about to be made that will be paid with 50 shares, why is it better that the 100 shares soon to be purchased are cancelled and then the necessary 100 shares are printed for the incentive program and the acquisition, rather than allocating those 100 purchased shares to these?

This would certainly be sensible. In my opinion, however, shares reserved for incentive schemes and acquisitions are not “distributed” profit to investors; instead, they should be thought of as mandatory expenses for business continuity. If it has been determined for the future of the business that the company needs more shares on its own balance sheet for reward systems or investments, I think we should speak more about increased costs or investment needs. In that case, I think it’s a bit questionable to speak of “profit distribution”.

According to the Limited Liability Companies Act, the primary and most important task of a limited liability company is to generate profit for the shareholders unless otherwise stated in the articles of association. Inderes is one of the few that has made an exception to this in its articles of association, stating that Inderes’ employees, customers, and the community take precedence over the interests of shareholders.
