“Bioretec Oy (“Bioretec” or the “Company”) has on 29 April 2026 received the following notification in accordance with Chapter 9, Section 5 of the Securities Markets Act from Sp-Rahastoyhtiö Oy. According to the notification, the share of Bioretec’s shares and votes held by Sp-Rahastoyhtiö’s investment fund Säästöpankki Pienyhtiöt has on 29 April 2026 exceeded 5 percent.”

Well, well.

SP-Rahastoyhtiö has taken quite a bold position. Their ownership is now a fraction over 8%, whereas they were previously below the flagging threshold (5%).

Quite an interesting (weak?) signal.

Perhaps the first positive one in a long time.

Of course, as a retail investor, I can’t really interpret the moves of professional fund managers in any direction.

Interesting nonetheless.

Help a junior understand. Was it so that Bioretec is in a silent period before the Q1 earnings release? How is the insider group able to subscribe to such a substantial portion of shares?

According to the release, this was a subscription. The rights issue was ongoing until April 21st. The company approved the subscriptions on April 24th. Management has the same rights as everyone else to subscribe at a certain price. The rules of the closed period do not apply here; the company defined the subscription period and price, and the CFO exercised their right. Of course, he must not have had any information that would have placed him in an unequal position compared to other shareholders.

In this case, he participated by paying a gross amount of €20,000 into Bioretec’s treasury.
