This was a nice surprise! :slight_smile: Thank you very much. Although I only just created my account for this forum, I’ve been on board with Efecte for several years. Thanks also to the management for the great attitude towards investors — it has value. Thanks to the fellow forum members for sharing information here.

The subsequent offer period has now ended, and approximately 98% of the shares have accepted the offers so far. Next, the redemption procedure for the remaining approximately 2% of the shares will begin :point_down:

Let’s post yesterday’s press release here as well. This doesn’t really affect the lives of Efecte owners anymore (who are now a small minority alongside Matrix42), but this is a pretty cool thing.

Management of the smaller company being acquired is often offered management team positions in the new entity. In this case, Niilo moves directly into the CEO role of the newly formed company :clap: I’d imagine that, like myself, others who have followed the company have gotten the impression that Efecte has been well-led in recent years (I’ve been following the company since 8/2020). Niilo and his management team have naturally played a key role in this.

So even though the journey as owners ends, the building of the “European alternative” continues outside the stock exchange with the same faces as Efecte’s over the last few years :slight_smile: surely also good news for the people at Efecte - an acquisition is always a time of change, and continuity in management likely eases the uncertainty associated with the situation :+1:

Does anyone have any information on when the remaining Efecte shares might be redeemed and delisted from the stock exchange?

At its fastest, it has probably taken about 6 months after the completion of the tender offer, but more typically 7-9 months. If the process in the arbitral tribunal drags on, it can take over a year, but in these cases, there has been a dispute over something. Apparently, the Ahlström-Munksjö redemption is still being litigated (?), the offer ended in 2021.

I was supposed to receive some Efecte redemption mail at my company, but it didn’t arrive. Has anyone else received any information, and was there anything essential in it?

The delisting process is moving forward - from this step, it took Basware about 1.5 months to confirm the right of redemption and ~2 months for the delisting, while for Avidly it was about 1 month and 1 month. So if things proceed accordingly, the process could be completed around August :point_down:

I still had Efecte shares at least, when will they be converted to cash and will we get some kind of interest?

In case someone ever digs through old listed companies via the forum’s excellent chronological threads, let’s save the termination of coverage statement here. :slight_smile:

A few previous examples suggest somewhere between 2 weeks and 3 months (the right of redemption was confirmed a week ago), I’m guessing the faster end:

I inquired a bit regarding the redemption of Efecte and received this response:

“I can’t say anything more yet other than that this process is progressing quite quickly. The arbitrator is currently preparing their award in this matter. The arbitral tribunal aims to issue the arbitral award by Monday, September 23, 2024, at the latest. So very soon.”

So perhaps progress can be expected soon.

I haven’t asked since then, but it hasn’t happened yet. But with prices falling, maybe it’s just better this way :wink::sweat_smile:

The arbitration award was issued on 23.09, it becomes legally binding on 22.11, and the money must be paid within a month, i.e., by 22.12 at the latest, if/when the decision is not appealed. The acquirer can, of course, pay as soon as tomorrow if they want, so the final payment date cannot be known.

As Critter already replied, the shares must be paid for by December 22nd at the latest. With the interest payment obligation in effect, this seems to be the longest period from the suspension of trading to the payment of the shares. However, according to basic math, interest has already accrued to €0.507/share by October 14, 2024, and if the payment is not made until December 22nd, it would reach €0.719/share.
