From what date is the interest on the shares subject to compulsory redemption paid? Is it already accruing, or only starting from when the arbitral tribunal has made its decision?

This might be a stupid question, but I’ll ask anyway :grinning_face_with_smiling_eyes: Is this late payment interest taxed as capital income or in the same way as, for example, deposit interest paid by a bank (always 30% and the bank withholds it)? And a follow-up question: if late payment interest is taxed as capital income, does the payer make a tax withholding?

At least Nordnet has withheld tax from the interest paid in connection with redemptions. In the statement, the gross interest is shown on its own line, and the withholding tax is deducted on the following line.

I had a 20% deemed acquisition cost applied by default in my taxes. It looked like I had made significantly higher profits from my Caverion sales. I intend to correct these. Be careful.

“Caverion’s immediate ownership structure remains unchanged, and the merger therefore does not affect the ongoing minority share redemption procedure. Triton and Crayfish BidCo Oy, which exercises control over Caverion, intend to delist Caverion’s shares from the Nasdaq Helsinki stock exchange as soon as practically possible. The delisting is currently estimated to take place during the second quarter of 2024.”

What’s the situation with this redemption? Do I need to do something myself, or will everything be handled automatically “on its own” and the money be deposited into the account?
I don’t personally own Caverion shares, but a deceased person’s estate does, and they were forgotten in the portfolio since the acceptance wasn’t completed last year.

I have no prior experience with redemptions as I haven’t encountered one before.

No need to do anything, the redemption price + interest will be paid in due course.

About a week or so ago, a registered letter arrived from Crayfish Bidco that would have had to be picked up from the Post office, and for that, a power of attorney would have had to be made for one of the beneficiaries of the estate, who would then have had to go to the Post office with the estate inventory and the power of attorney to pick it up. We didn’t bother picking it up. We figured it’s just some info thing and not worth making powers of attorney for. :grinning_face:

Does anyone have any info on what the situation is with this redemption? At what point is trading usually suspended?

I have the same guess regarding the trading suspension, meaning there could be a suspension after May Day on May 2–3, 2024, but my view (based on experience) differs slightly on when the money hits the account. At the fastest, the money has so far come in about 20 days (e.g., Avidly, Kotipizza) from the trading suspension, and at the slowest, it has taken up to 100 days (e.g., Next Games, Basware).

Yep, let’s see how it goes. Speaking of interest, a fair amount of interest was already paid on those mentioned Avidly redemptions (April 13, 2023), but for the other three, no interest had to be paid yet. The latest “cashed-in” redemption was Rovio in February 2024, and it took 26 days from the suspension of trading to the payment of the funds.

Does anyone have experience with what happens to the collateral value provided by Nordnet between a trading suspension and the payout? Does the collateral value remain, or does it disappear from the portfolio?

You’re interpreting it correctly. This might, however, be related to the upcoming General Meeting on June 12th, meaning they likely want current minority shareholders to retain their right to participate (the record date is May 31st). This is pure speculation, but I can’t think of any other reason for such a long delay. I also guess that the stock will be delisted (i.e., the security is paid) right at the beginning of June.

I don’t really understand myself what business minority shareholders have at the general meeting, but since one is being held, I suppose it’s good if there are at least some attendees :slight_smile:

Based on the sentence in the invitation: “Changes in shareholding after the record date of the general meeting do not affect the right to participate in the general meeting or the shareholder’s number of votes,” I deduced that the delisting and the posting of security could take place even before the general meeting (but after May 31). However, the actual payment to minority shareholders’ book-entry accounts could certainly stretch beyond 100 days from the suspension of trading. I won’t even try to guess the timing of this payment more specifically; the money will probably hit the accounts sometime between June and September.

The reference rate will indeed be reviewed starting July 1, 2024, and it might drop slightly, though likely not very significantly. As for whether this has any impact on the payment schedule, it is certainly possible.

By the way, the Uponor redemption procedure is currently ongoing. Trading there was suspended a week earlier than with Caverion (i.e., April 26), and the delisting followed just a few days later, so even before May Day. No money has been seen from Uponor yet either, but there are some signs that the funds might arrive from Uponor as early as June. We’ll see.

They are now raising funds, and one of the mentioned uses is the redemption of the remaining Caverion shares.

Good observation; at the same time, it explains why the stock still hasn’t been delisted and no collateral has been posted, or why there won’t be any catering at the upcoming AGM—the buyer turned out to be broke. Well, let’s hope they can dig up the money as a loan from somewhere and eventually get the shares paid for.

I haven’t paid any attention to this company for a couple of years, but I own about 40 shares and only just realized that they can no longer be sold when I tried to do so :smiley: Is there any information on when the shares will be compulsorily redeemed and at what price? I’d be interested to know if I’ll get any money back from this at all. I haven’t found any information regarding this.
