With the acquisition of BLC Turva, Loihde will become like a new company. The acquisition increases Loihde’s revenue by about half, and the company will also be profiled more clearly as a provider of security services.

In the media and analysis reports, Loihde has traditionally been characterized as an IT service company. In the new entity, the share of IT consulting is only about 15 percent.

Loihde expects significant cost synergies of about three million euros. These must be achieved for the acquisition to appear reasonably priced for Loihde. Three million euros is a high figure relative to BLC Turva’s historical profitability.

“We believe that the synergy potential has been very realistically modeled and its realization is reasonably probable,” says Samu Konttinen, CEO of Loihde.

Improved profitability from cost savings is one step. Another is to extend Loihde’s services to BLC Turva’s customers.

“Cross-selling opportunities are quite significant. Our total security offering compared to BLC is significantly broader when cyber security solutions, network solutions, and so on are included. We have a lot to offer BLC’s customer base that is not found in BLC’s portfolio,” Konttinen says.

Konttinen estimates that, calculated with rough figures at the EBITA level, the old Loihde’s 5 million will turn into 9 million after realizing the synergy benefits.

However, before cost savings and cross-selling can begin, the decision of the Finnish Competition and Consumer Authority (KKV) must be awaited. The KKV took the acquisition for further review. A decision is expected during the spring.
